New Annual Report Filing Requirement for Pennsylvania Organizations
When Governor Tom Wolf signed Act 122 of 2022 into law, it modified the state’s reporting requirement for domestic and foreign businesses. This regulation is applicable to both for-profit and non-profit organizations. Previously this report had to be filed every ten years. Now the report must be filed annually, and the requirement goes into effect in calendar year 2025. The intent of the annual requirement is for the State to have more updated and timely information of key organizational information. If an organization fails to file an annual report, they may be subject to administrative dissolution, termination, or cancellation and a loss of the protection of its name.
In the Annual Report, your organization will be required to provide the following information:
- Business Name
- Jurisdiction of formation
- Registered office address
- Principal office address
- Name of at least one director/member on your Board of Directors
- Names and titles of your organization’s principal officers/employees
- Entity number issued by the Pennsylvania Department of State
There is no fee for non-profits to file the Annual Report while the fee for for-profits is $7. The filing deadline is June 30, 2025, but if your organization is/or has an affiliated limited liability company the deadline is September 30, 2025. The filing can be completed online here.
